MercuryChat Terms of Service

Effective Date: February 2026

1. Acceptance of Terms

By accessing or using MercuryChat ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.


2. Description of Service

MercuryChat is an AI-powered voice automation platform that provides services including but not limited to:

  • Automated voice calling
  • AI-powered conversational assistants
  • Retrieval-Augmented Generation (RAG) knowledge base search
  • CRM and third-party integrations
  • Call analytics and reporting
  • API access for automation

The Service uses artificial intelligence and machine learning technologies to generate responses and automate communication workflows.


3. Account Registration and Access

Access to MercuryChat is provided through authentication methods including Google Sign-In or other organization-approved identity providers.

You agree to:

  • Maintain the confidentiality of your login credentials
  • Restrict access to authorized users within your organization
  • Immediately notify MercuryChat of any unauthorized account use

You are responsible for all activity that occurs under your account.


4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Conduct fraudulent or deceptive activities
  • Attempt to gain unauthorized access to any system or network
  • Interfere with or disrupt the Service infrastructure
  • Upload malicious code, malware, or harmful content
  • Circumvent security protections or rate limits
  • Use the Service in violation of telecommunications or privacy laws including but not limited to TCPA, GDPR, CCPA, or applicable local regulations

You are solely responsible for ensuring that your use of automated calling features complies with all applicable regulations.


5. Call Recording and Consent

MercuryChat may record and transcribe voice calls to provide service functionality such as transcription, analytics, and AI response generation.

Users are responsible for ensuring that proper disclosure and consent are obtained from call participants in accordance with applicable laws and regulations.

The Service may provide automated consent prompts; however, legal compliance remains the responsibility of the user.


6. User Content and Knowledge Base Data

Users may upload content including but not limited to:

  • Knowledge base documents
  • Contact lists
  • CRM records
  • Campaign configurations
  • Scripts and prompts

You retain ownership of all content you upload to the Service.

You represent and warrant that:

  • You have the legal right to upload and use such content
  • Your content does not infringe intellectual property rights
  • Your content complies with all applicable laws and regulations

MercuryChat does not claim ownership of user-uploaded content.


7. AI-Generated Output Disclaimer

MercuryChat uses artificial intelligence to generate responses, analyze data, and automate interactions.

AI-generated outputs may contain inaccuracies, omissions, or outdated information.

You acknowledge that:

  • AI responses are generated automatically
  • MercuryChat does not guarantee the accuracy or reliability of AI-generated outputs
  • You are responsible for reviewing and verifying outputs before relying on them

MercuryChat shall not be liable for decisions or actions taken based on AI-generated responses.


8. Data Processing and Privacy

The Service processes user data including call recordings, transcripts, contact information, and knowledge base documents in order to provide platform functionality.

Your use of the Service is also governed by our Privacy Policy, which describes how data is collected, used, and protected.

You are responsible for ensuring that you have appropriate legal authority to process any personal data uploaded to the Service.


9. AI Model Training and Data Usage

MercuryChat does not use customer-uploaded data, call recordings, transcripts, or knowledge base documents to train its AI models unless explicitly authorized by the customer.

Data may be processed for the purpose of:

  • providing AI responses
  • improving system performance
  • generating analytics and reports

All such processing is conducted in accordance with applicable privacy laws.


10. API Usage

MercuryChat provides API access to allow programmatic interaction with the Service.

Users are responsible for:

  • safeguarding API keys
  • monitoring API usage
  • preventing unauthorized access

MercuryChat may suspend or revoke API access if usage violates these Terms or poses a risk to system stability or security.

Revoked API keys cannot be restored.


11. Third-Party Services

MercuryChat may integrate with or rely on third-party services including but not limited to:

  • Authentication providers (e.g., Google Sign-In)
  • Telephony providers (e.g., Twilio)
  • Speech-to-text providers (e.g., Deepgram)
  • Text-to-speech providers (e.g., ElevenLabs)
  • CRM systems (e.g., Zoho CRM, Salesforce)
  • AI language model providers (e.g., OpenAI)
  • Vector database providers (e.g., Qdrant)
  • Calendar services (e.g., Google Calendar)
  • Email service providers (e.g., Resend)
  • Cloud infrastructure providers

MercuryChat is not responsible for the availability, reliability, or performance of third-party services.


12. Service Availability

MercuryChat strives to maintain high availability and system reliability; however, the Service is provided on a best-effort basis.

We do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, upgrades, or unforeseen technical issues.


13. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind.

To the maximum extent permitted by law, MercuryChat shall not be liable for:

  • indirect damages
  • incidental damages
  • consequential damages
  • lost profits or revenue
  • loss of data

Our total liability arising out of or relating to the Service shall not exceed the amount paid by you for the Service during the twelve (12) months preceding the claim.


14. Indemnification

You agree to indemnify, defend, and hold harmless MercuryChat and its affiliates, employees, and partners from any claims, liabilities, damages, or expenses arising from:

  • your use of the Service
  • your uploaded content
  • violations of applicable laws or regulations
  • breach of these Terms

15. Changes to Terms

MercuryChat may modify these Terms from time to time.

Updated Terms will be posted within the Service or on our website. Continued use of the Service after updates constitutes acceptance of the revised Terms.


16. Termination

MercuryChat may suspend or terminate access to the Service if:

  • these Terms are violated
  • illegal activity is detected
  • system security is threatened

Users may terminate their account at any time by discontinuing use of the Service.


17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction in which MercuryChat operates, without regard to conflict-of-law principles.
